Every LLC must identify a business purpose in its Articles of Organization. That purpose can be generally stated (e.g., the transaction of any lawful business) or specifically stated (e.g., providing real estate development services).

Every LLC must declare how long it expects to exist under Missouri law. If your Missouri LLC will conduct business indefinitely, as is typical, select “Perpetual.” If your Missouri LLC will exist only for a limited period of time, choose a specific end date.
Your LLC will be formed and in legal existence effective upon the filing of Articles of Organization with the Missouri Secretary of State. If you wish to select a later effective date, please indicate that date here.
Every Missouri LLC is required to have a registered agent and registered office in the state for the purpose of receiving legal documents (service of process), tax information, compliance communications and other similar notices. As part of your LLC Formation order, Missouri Business, Inc. will serve as your LLC’s Missouri registered agent for 12 months from the date of formation, if you wish. If you would like to identify a different registered office and registered agent, you may do so here. Note that this information will be public.
Your LLC can be managed by the members (owners) or by one or more managers. Typically, LLCs with a limited number of members who are active in the business will be member-managed. LLCs with a large number of members or with one or more passive members or with an active business that requires daily decision-making may wish to consider electing management by one or managers.
Please identify the members (owners) of the LLC and their percentage ownership interests. This information will not be made public but will be used by MBS to identify the members in the LLC’s operating agreement and other internal organization documents.
This is the person or persons who will be identified in the public records as having organized the LLC. The organizer performs a procedural function and typically does not have any ownership rights as a result of this function. As part of your LLC Formation Package, an MBS representative will be identified as the organizer of the LLC if you wish to preserve your anonymity.
