A foreign corporation (not formed in Missouri) may not transact business in Missouri until it obtains a “Certificate of Authority” from the Missouri Secretary of State. A foreign LLC (not formed in Missouri) may not transact business in Missouri until it “Registers” with the Missouri Secretary of State. For actions and activities that are not considered transacting business for purposes of these qualification requirements, refer to Section 351.572.2 RSMo (for corporations) and Section 347.163.5 (for LLCs). Failure to properly qualify with the Secretary of State could result in a minimum fine of $1,000, among other penalties and legal consequences.
